1. Introduction and Definitions

Welcome to coachHelp! These Terms of Service ("Terms") govern your use of the coachHelp platform, accessible at the domain coachhelp.de.

Definitions:

Platform: The coachHelp web application, including all features, APIs, and services.
User: A natural or legal person who has created an account on the Platform and uses the services (typically coaches / consultants).
Client: A person whose data the User enters into the Platform in order to provide coaching services (e.g. AVGS clients).
AI Drafts: Text suggestions generated by the system, which must be reviewed and approved by the User before sending.

2. Prerequisites for Use

2.1 Minimum Age

Use of the Platform is restricted to persons aged 18 and over. By registering, you confirm that you are of legal age and have legal capacity.

2.2 Business Use

The Platform is intended for business use by coaches and consultants in the course of their professional activities. Private or non-business use is not intended.

2.3 Prohibited Content

It is prohibited to enter content into the Platform that:

violates applicable law
is racist, discriminatory, or glorifies violence
infringes copyrights or other intellectual property rights
contains viruses, malware, or other harmful code
processes third-party data without their consent

3. Registration and User Account

3.1 Account Creation

To use certain features, you must create an account. Registration is via email and password or via supported OAuth providers.

3.2 Account Security

You are responsible for the confidentiality of your login credentials. Do not share your password with third parties and notify us immediately of any suspicious activity.

3.3 Account Deletion

You can delete your account at any time. After deletion, your personal data will be removed within 30 days, unless statutory retention obligations require otherwise. Client data must be exported before deletion if you wish to retain it.

4. Subscription and Payment

4.1 Free Tier

coachHelp is currently offered as a free service. No fees are charged for registration or use of the basic features.

4.2 Future Paid Tiers

We reserve the right to introduce paid tiers in the future. Existing users will be informed at least 30 days in advance of any changes.

4.3 Cancellation

You can cancel your subscription at any time. Access to paid features will end at the end of the current billing period.

5. Use of the Platform

5.1 Permitted Use

As a user, you may use the Platform for the following purposes:

Managing your clients
Creating and sending WhatsApp messages via the integrated API
Using AI features to generate drafts for communication and documentation
Tracking commitments and promises to clients
Creating session protocols and reports

5.2 Prohibited Actions

It is expressly prohibited to:

send spam messages or engage in unwanted communication
circumvent security mechanisms or gain unauthorised access
reverse engineer, decompile, or disassemble the Platform
perform automated queries or scraping without our express consent
use the Platform for fraudulent or unlawful purposes

5.3 Responsibility for AI Drafts

The AI-generated drafts are provided as assistance and must be reviewed by you as the user before sending or use. We accept no liability for the factual accuracy, appropriateness, or legality of AI-generated content. You bear sole responsibility for the messages and documents you send.

6. Intellectual Property Rights

6.1 Platform Ownership

The source code, design, user interface, logic, and all other components of the Platform are the property of coachHelp and are protected by copyright, trademark, and other intellectual property rights.

6.2 User Content

Content that you as a user enter into the Platform (e.g. client data, notes, messages) remains your property. By uploading, you grant us the right to process and store this data for the purpose of providing the Platform.

6.3 AI-Generated Drafts

AI-generated drafts may be freely used, modified, and shared by you, provided this is done in the course of your business activities. We claim no ownership of these drafts.

7. Limitation of Liability

7.1 Provision "As Is"

The Platform is provided "as is". We make no warranty of continuous availability, error-free operation, or fitness for a particular purpose.

7.2 Excluded Liability

We are not liable for:

data losses, unless due to gross negligence or intent
disruptions or failures of third-party providers (Supabase, Anthropic, WhatsApp/Meta)
content created or transmitted by users
damages arising from the use of AI-generated drafts
indirect, incidental, or consequential damages

7.3 Liability Cap

Our liability is limited to the amount you paid for the use of the Platform in the month preceding the damaging event. For free use, our liability is limited to cases of intent and gross negligence.

7.4 Statutory Liability

The limitations of liability do not apply to:

personal injury
damages arising from breach of life, body, or health
damages arising from breach of an essential contractual obligation (cardinal obligation)
liability under the Product Liability Act

8. Warranty Disclaimer

8.1 GDPR Compliance

We implement all reasonable measures to ensure compliance with the GDPR. Compliance also depends on proper use by the user, particularly regarding the lawfulness of entered client data.

8.2 Availability

We aim for 99.5% availability but do not provide a contractual guarantee of a specific uptime. Maintenance work is carried outside business hours where possible and announced in advance.

8.3 AI Features

AI-generated drafts are provided without warranty of accuracy, completeness, or legal compliance. We strongly recommend reviewing all AI outputs before use.

9. Termination of Service

9.1 Termination by User

You can terminate your account and use of the Platform at any time. Your data will be deleted in accordance with our Privacy Policy.

9.2 Termination by coachHelp

We reserve the right to discontinue the Platform or individual services with a notice period of 30 days. In this case, you will be given the opportunity to export your data.

9.3 Data Deletion After Termination

After termination of use, your data will be completely deleted within 90 days, with the exception of data that we are required to retain due to statutory retention obligations (e.g. audit logs for 7 years).

9.4 Immediate Termination

We reserve the right to suspend or delete your account without notice in the event of a breach of these Terms or unlawful use.

10. Changes to the Terms

We may update these Terms of Service from time to time. You will be informed of material changes by email or via a notice on the Platform at least 14 days in advance.

If you do not object to the amended terms within 14 days of notification, this shall be deemed consent. In the event of an objection, your user agreement will terminate when the new terms take effect.

11. Dispute Resolution

11.1 Applicable Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

11.2 Jurisdiction

If the user is a merchant within the meaning of the German Commercial Code, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from or in connection with these Terms is the seat of the operator. Otherwise, the statutory places of jurisdiction apply.

11.3 Dispute Resolution

We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
